     Terms & Conditions

     

    1. Acceptance of Terms

    By engaging Sid & Co (“we”, “us”, “the Agency”) for any service  whether through a signed proposal, invoice acceptance, verbal confirmation, or commencement of work  the client (“you”, “Client”) confirms full agreement to the terms set out in this document.

    These terms form a binding legal agreement and supersede any prior verbal or written understandings, unless expressly modified in a written addendum signed by both parties.

    2. Scope of Services

    Sid & Co provides digital marketing, branding, social media management, performance marketing, UI/UX design, video production, and consultancy services as explicitly defined in the agreed proposal or written brief.

    • Services are limited to what is documented in the proposal. Any additional work outside the agreed scope will be charged at the Agency’s prevailing rates.
    • Sid & Co creates campaigns and manages outreach on behalf of clients. We do not hold liability for any product, service, or commitment made by the client to their customers.
    • We reserve the right to decline, modify, or discontinue a project if the scope changes materially without a revised written agreement.

    3. Payment Terms

    All payments are due in advance before any work commences or continues into a new cycle.

    • For retainer engagements, 50% of the total billing amount is due at the start of each retainer period.
    • Project-based work requires full advance payment unless otherwise agreed in writing.
    • GST and any other government-mandated taxes are applicable over and above the quoted amount.
    • Delayed payment may result in a corresponding delay in deliverables and project timelines. Sid & Co bears no responsibility for timeline slippage caused by payment delays.
    • Invoices unpaid beyond 7 days of the due date may attract a late fee of 2% per week on the outstanding amount.

    4. Revisions & Deliverables

    All deliverables will be provided in accordance with timelines agreed upon at project kickoff. Revision policies are as follows:

    • Up to 2 rounds of revisions (phases of changes) are included within the agreed scope per deliverable.
    • More than 2 revision rounds will incur additional charges billed at the Agency’s standard revision rate.
    • Timelines are designed considering 24 to 48 working hours (business days only). Weekends and public holidays are excluded.
    • Leftover deliverables from the current month will not be carried forward to the next month if the delay is caused by the client (e.g. late feedback, missing assets, delayed approvals).
    • Sid & Co is not responsible for delays arising from client-side bottlenecks including delayed approvals, missing content, or changes in brief direction.

    5. Termination & Notice Period

    Either party may terminate the engagement by providing formal written notice via email to the other party. The following conditions apply:

    • The notice period for termination is two (2) calendar months.
    • The notice period commences on the first day of the month following receipt of the formal termination email.
    • Work and billing continue normally throughout the notice period. No refund is applicable for amounts paid during this period.
    • Sid & Co reserves the right to terminate the engagement immediately in cases of non-payment, misconduct, or breach of agreed terms, with no notice obligation.

    Example: A termination email sent on April 10 takes effect from May 1. The engagement continues and is billed through June 30.

    6. Intellectual Property

    All creative assets, strategies, and content produced by Sid & Co remain the intellectual property of the Agency until full and final payment has been received.

    • Upon complete payment, ownership of final deliverables transfers to the client for the specific agreed usage. Raw files, source files, and working templates remain the property of Sid & Co unless specifically included in the agreement.
    • The client grants Sid & Co the right to showcase completed work in our portfolio, case studies, and award submissions, unless expressly restricted in writing.
    • Sid & Co retains the right to display work credit (“Created by Sid & Co”) on digital and printed outputs where applicable.

    7. Confidentiality

    Both parties agree to keep all business-sensitive information shared during the engagement strictly confidential. This includes, but is not limited to, business strategies, pricing, client data, creative briefs, and financial information.

    This obligation continues for a period of two (2) years after the termination of the engagement.

    8. Limitation of Liability & Warranties

    Sid & Co creates and manages marketing campaigns and digital content. We do not guarantee specific business outcomes, sales figures, or ROI, as these depend on many factors beyond our control.

    • We are not liable for losses arising from client product or service quality, market conditions, platform algorithm changes, or third-party service outages.
    • Our total liability in any event is limited to the fees paid for the specific service that gave rise to the claim.
    • Sid & Co makes no warranties regarding results from advertising campaigns, as performance depends on platform conditions, budgets, and audience behaviour.

    9. Governing Law & Dispute Resolution

    These Terms & Conditions are governed by the laws of India. Any disputes arising from or related to this agreement shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan.

    The parties agree to first attempt resolution through good-faith negotiation before initiating legal proceedings.

    10. Amendments

    Sid & Co reserves the right to update these Terms & Conditions at any time. Clients will be notified of material changes via email. Continued engagement after notification constitutes acceptance of the updated terms.

    11. Force Majeure

    Neither party shall be liable for delays or failure to perform obligations resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, platform outages, or pandemics.

    By agreeing to move ahead with invoicing and project work, the client of Sid & Co in this specific proposal agrees to all the conditions outlined above.
